Welcome to Gaku Development Ltd. By accessing our website or utilizing our services, you agree to comply with and be bound by the following terms and conditions.

1. Engagement & Services

Gaku Development Ltd. provides digital services including but not limited to Web Development, Mobile App Development, UI/UX Design, and E-Commerce solutions. Specific project scopes, timelines, and deliverables will be outlined in individual Statement of Work (SOW) documents.

2. Intellectual Property

Unless otherwise agreed upon in writing, all source code, designs, and digital assets produced by Gaku Development Ltd. remain the property of the agency until full payment for the respective milestone or project is received. Upon final payment, ownership of final deliverables is transferred to the client.

3. Client Responsibilities

To ensure project success, clients are expected to:

• Provide timely feedback on designs and development builds.
• Supply necessary brand assets, content, and API credentials.
• Adhere to the agreed-upon payment schedule.

4. Payment Terms

Project fees are typically structured in milestones (e.g., Deposit, Design Approval, Beta Launch, Final Delivery). Invoices are due within 14 days of receipt unless otherwise specified. We reserve the right to pause work if payments are significantly overdue.

5. Limitation of Liability

Gaku Development Ltd. strives for excellence but cannot be held liable for indirect, incidental, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of profits or data breaches beyond our reasonable control.

6. Confidentiality

Both parties agree to protect and keep confidential all non-public information exchanged during the course of the business relationship, including trade secrets, proprietary technology, and business strategies.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Gaku Development Ltd. is registered.
